Role of chief executive

 

Overall responsibility

  • To be responsible to the Board for the profitability and overall performance of the company.
  • To lead the formulation of strategy for the company and communication of matters affecting the company to both internal and external parties.
  • To be responsible to the Board for the overall system of internal control and risk management operated within the company.
  • To manage the businesses of the company in accordance with the company business plan approved by the Board.
  • To make decisions in all matters affecting operations, performance and strategy of the company (being those matters not specifically reserved to the Board or the Board committees).

Leadership

  • Leading and motivating the executive directors and senior executive team and chairing the operating board.
  • The appointment of high quality and relevantly skilled senior executives.
  • Ensuring timely and effective implementation of Board decisions.
  • Ensuring the development needs of executive directors and senior executives are identified and met and that appropriate succession planning is in place.

Running the business

  • Developing the company’s strategy with the chairman
  • Implementing and managing the business of the company in accordance with the strategy approved by the Board.
  • Ensuring the business meets its profitability and performance targets.
  • Ensuring control and risk management systems are in place and effective.
  • Developing policies for Board approval and implementing them.

Communication

  • Maintaining dialogue with the chairman on important and strategic issues.
  • Alerting the chairman to important issues of which he might not yet be aware.
  • Ensuring that the executive team provides the Board with timely, accurate and clear reports and information.
  • Leading the communications programme with shareholders and potential investors.
  • Representing the company to the outside world.

Corporate governance and ethics

  • Upholding and promoting high standards of integrity, probity and corporate governance.
