The Board of Northern Foods plc (“the Company”) announces that it is today posting a circular to its shareholders (the “Circular”) setting out details of the proposed disposal of its Speciality Bread, Chilled Pastry, Cakes and Flour Milling businesses (together the “Assets”). This follows the announcement on 22 November 2006 of the Company’s agreement to dispose of the Assets.

The Circular contains a notice convening an extraordinary general meeting of shareholders at 10.30am on Tuesday, 9 January 2007 at which approval for the proposed disposal will be sought.

The Circular will shortly be available for inspection at the UK Listing Authority’s Document Viewing Facility which is situated at: Financial Services Authority, 25 The North Colonnade, Canary Wharf, London, E14 5HS, telephone 0207 066 1000. In addition, the Circular will shortly be available on the Company's website (www.northernfoods.com) or can be inspected at the Company's registered office (2180 Century Way, Thorpe Park, Leeds, LS15 8ZB).
